Debt recovery and commercial disputes in Romania
Effective recovery begins by testing the claim, evidence, limitation period, debtor and enforcement prospects. The fastest procedure is useful only when it fits the debt and leads to an asset against which a judgment can be enforced.

01 · ORIENTATION
A recovery strategy built around evidence and assets
A foreign creditor facing a Romanian debtor may have several routes: negotiated payment, a formal demand, the Romanian payment-order procedure, ordinary proceedings, a small-claims route where its conditions are met, insolvency measures or an EU cross-border procedure. The correct choice depends on whether the debt is certain, liquid and due, whether it is contested, what the contract says about law and forum, and what evidence is available.
Procedure should follow commercial reality. Before incurring full litigation cost, the creditor should identify the debtor correctly, review current corporate and insolvency status, preserve limitation and assess likely assets or receivables. A settlement secured by enforceable protections may produce a better result than a technically successful but uncollectable judgment.

04 · LEGAL ANALYSIS
Validate the claim before choosing the procedure
The assessment reconstructs formation, performance, maturity and breach. An invoice alone may not prove the underlying obligation if delivery or acceptance is disputed. The complete file should connect the agreement, purchase order, performance record, invoice, due date and notices. Emails and electronic records should be preserved in their original form with information showing sender, date and context.
Jurisdiction and applicable law are examined independently. A Romanian debtor does not always mean a Romanian court has jurisdiction, particularly where the parties agreed another valid forum or arbitration. In EU matters, the Brussels I Recast framework can determine jurisdiction and facilitate recognition and enforcement. Notice and escalation clauses should be followed before proceedings if the contract makes them mandatory.
Limitation cannot wait for negotiation
Romanian civil law uses a general three-year limitation period for many claims, but the starting point, suspensions, interruptions and special periods depend on the obligation. The deadline should be calculated from the facts and legal basis, not from a general internet statement. An acknowledgement, partial payment or procedural act can matter, but informal discussions should never be assumed to preserve the claim automatically.
Commercial negotiations can continue while limitation is protected. The file should record the exact due date, later acknowledgements, contractual notice steps and any prior proceedings. If time is short, the creditor may need to file or take another legally effective measure before settlement discussions are complete.
Romanian procedural routes
The payment-order procedure under the Romanian Civil Procedure Code is designed for qualifying monetary claims arising from a civil contract and supported by documents. It can be efficient when the debt is certain, liquid and due and the creditor has complied with the required preliminary demand. A substantial dispute over performance, set-off or damages may make ordinary proceedings more appropriate.
Small-claims procedure can simplify eligible lower-value cases, while ordinary proceedings provide the full framework for complex evidence, counterclaims and contractual interpretation. Insolvency law creates a different environment when the debtor is unable to pay: individual enforcement may be restricted and the creditor must observe insolvency notice and claim-registration deadlines. The threat of insolvency should be used only where the legal conditions genuinely exist.
Cross-border tools and enforcement
For eligible cross-border uncontested monetary claims, the European Order for Payment procedure can provide a standardised route. The European Small Claims Procedure is available for qualifying cross-border claims not exceeding EUR 5,000, excluding interest, expenses and disbursements. Scope, service and opposition rules must be checked; neither instrument is a universal substitute for national litigation.
Obtaining an enforceable title is only one stage. Recovery may require a Romanian bailiff to pursue bank accounts, receivables, movable assets or real estate within the enforcement rules. Available assets, competing security and insolvency status influence the result. Settlement documents should therefore include clear instalments, acceleration, security and enforceability mechanisms where legally available.
05 · DELIVERY
A proportionate dispute strategy
Assessment
Test claim, evidence, forum, limitation, debtor status and recoverability.
Demand
Present the legal position and a commercially credible payment route.
Proceedings
Use the procedure proportionate to contest, value, urgency and evidence.
Recovery
Convert settlement or judgment into payment through secured terms or enforcement.
06 · TIMING
Timing is procedure-specific
Assessment usually within 3–5 working daysCourt and enforcement timing cannot be guaranteed. The initial assessment states the available route, estimated phases, fee basis and the assumptions affecting duration.
07 · FAQ
Is an unpaid invoice enough for a payment order?
Not always. The underlying contractual obligation, performance, due date, documentary evidence and preliminary procedural conditions must be reviewed.
Can a foreign judgment be enforced in Romania?
Often yes, but the route depends on the issuing state, subject matter and applicable EU or treaty framework. Recognition and enforceability must be checked for the specific judgment.
Does filing a claim guarantee recovery?
No. A strong judgment may still be difficult to collect if the debtor lacks reachable assets or is insolvent. Recoverability is part of the initial strategy.
