Terms and agreements for SaaS services

SaaS is more than a software licence. The customer receives ongoing access to functionality operated by the provider, and the agreement must describe availability, accounts, data, support, product changes and exit from the service.

B2B and B2C have different rules

In B2B, parties have greater freedom to negotiate service levels, liability and renewal. In B2C, clauses must align with mandatory rules on information, withdrawal, digital content and services, commercial practices and unfair terms.

If the platform accepts both categories, registration must establish the capacity in which the user contracts, and documents must not transfer to consumers risks legally borne by the trader.

Subscription mechanics

The monthly price alone does not describe the transaction. Terms must explain what the plan includes, when billing occurs, how it changes and how it can be stopped.

  • Plans and limits: users, storage, transactions, API, support and fair use.
  • Trial: features, duration, conversion to a paid plan and notices.
  • Renewal: period, price and cancellation procedure.
  • Upgrade/downgrade: immediate or next-cycle effect, pro rata charges and loss of features.
  • Suspension: non-payment, abuse, security risk and remediation steps.
  • Termination: export, deletion, retention and access after the subscription ends.

Service, data and technical providers

The agreement describes essential functions and separates marketing promises from measurable SLA obligations. Unilateral changes require a reason, notification procedure and, where material, a reasonable solution for the customer.

For personal data, GDPR roles, subprocessors, transfers, security and return or deletion are established. Customer data, telemetry, analytical models and aggregated data should not be combined into a single ‘ownership’ formula.

Data Act and switching providers

The Data Act applies from 12 September 2025 and establishes requirements for agreements covering certain data processing services, including cloud and SaaS within the relevant definition. Contracts must facilitate provider switching, data export and continuity without unjustified contractual obstacles.

Switching and egress charges are in a transition period and will be fully eliminated from 12 January 2027 in covered cases. The exit clause must be technically feasible, not merely a generic portability promise.

Frequently asked questions

Can I use the same terms for businesses and consumers?

That is unwise. Consumer rules impose information requirements and remedies that cannot be removed through a superficially adapted B2B agreement.

Is automatic renewal always permitted?

It may be used if transparently presented, appropriately accepted and accompanied by a genuine cancellation procedure. The regime differs between B2B and B2C.

Can the customer export their data?

The agreement and applicable legislation may require export and switching assistance. The format, period and data included must be defined before termination.
