An assignment agreement turns a creation into an asset the recipient can use within clear legal limits. The author, rights holder and recipient are not always the same person

The first step is identifying who actually created the work and the agreements through which the assignor acquired rights. An agency cannot transfer more than it obtained from employees, contractors or subcontractors.

A complex project may involve separate rights in text, illustration, photography, music, interface and code. Stock material, fonts and open-source components have their own licences and must be excluded or described separately.

What the agreement must expressly state

The law requires an economic-rights assignment to identify the rights transferred and, for each, permitted uses, duration, scope and remuneration. Written form is essential to prove the assignment’s existence and content.

  • Work: title, files, version, date and handover record.
  • Rights: reproduction, distribution, public communication, adaptation and other relevant uses.
  • Exclusivity: exclusive or non-exclusive, stated unambiguously.
  • Territory and duration: aligned with actual commercial exploitation.
  • Remuneration: amount, royalties, stages, reporting and applicable tax treatment.
  • Warranties: originality, component rights and liability for third-party claims.

Moral rights and modifying the work

Moral rights protect the personal connection between author and work and do not transfer like economic rights. The agreement may organise attribution, approval of modifications and author cooperation, but should not legally promise disappearance of rights the law makes inalienable.

For branding or software, the recipient needs practical freedom to update, integrate and adapt. This must be expressed through economic rights and specific obligations permitted by law.

Handover, acceptance and evidential records

The agreement must align with a handover process covering editable formats, passwords, repository, documentation and final-version confirmation. Acceptance and rights assignment may occur at different times, for example after full payment.

The recipient should retain agreements, handover records, third-party component declarations and version history. These become important for investment, sale of the business or ownership litigation.

Frequently asked questions

If I paid for the work, do I automatically own the rights?

Not all rights or to every extent. The agreement must state which economic rights transfer and on what terms.

Can rights in a future work be assigned?

The law restricts assignment of all future works. A specific future project can be contracted, but the subject and identification mechanism require careful drafting.

Are assignment and licensing the same?

No. Assignment transfers economic rights within agreed limits, while a licence authorises use without necessarily depriving the holder of the right.
